1. Acceptance of Terms

By accessing and using this Site, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement, and accept these Terms in full. If you do not agree to any part of these Terms, you must not use this Site or engage our services.

2. Site Access & Security

We reserve the right to restrict, suspend, or terminate access to the Site or any part of it at any time and for any reason, without notice. You are responsible for ensuring that anyone who accesses the Site through your connection is aware of and complies with these Terms.

You agree not to use automated tools to access, scrape, or index the Site without prior written consent from Kissor Digital.

3. Intellectual Property Rights

All content on this Site — including text, graphics, logos, images, audio clips, and software — is the property of Kissor Digital or its content licensors and is protected by Kenyan and international copyright, trademark, and intellectual property laws.

For client projects: upon receipt of full payment, intellectual property rights for custom deliverables (website designs, copy, branding assets) are assigned to the client. Third-party assets (stock images, fonts, plugins) remain subject to their respective licences.

• You may not reproduce, distribute, or publicly display Site content without written permission.
• You may print a single copy of any page for personal, non-commercial reference.

4. Prohibited Uses

You agree not to use the Site or our services to:

• Violate any applicable law or regulation in Kenya or internationally.
• Transmit any unsolicited or unauthorised advertising or promotional material.
• Impersonate Kissor Digital, our team members, or any other person or entity.
• Introduce malware, viruses, or any other harmful code.
• Attempt to gain unauthorised access to any part of the Site, our servers, or connected systems.
• Engage in data scraping, harvesting, or mining without express written consent.
• Use our services for any purpose that is unlawful, defamatory, or harmful to others.

5. Services & Deliverables

Scope of work, timelines, and deliverables for each project are defined in the individual project proposal or Statement of Work agreed upon before project commencement. Kissor Digital reserves the right to subcontract elements of a project to qualified third-party specialists.

Client feedback and content must be provided within agreed timeframes. Delays caused by late client responses may result in revised delivery dates without penalty to Kissor Digital.

6. Payment Terms

All prices are quoted in Kenyan Shillings (KES) unless otherwise stated. A deposit (typically 50%) is required before project commencement. The balance is due upon project completion or as defined in the payment schedule within the project proposal.

Late payments may attract an interest charge of 2% per month. Kissor Digital reserves the right to withhold final deliverables until full payment is received. Payment via M-Pesa, bank transfer, or approved card processors is accepted.

7. Confidentiality

Both parties agree to keep confidential any proprietary information, business strategies, or trade secrets shared during the course of the engagement. This obligation survives the termination of the service agreement for a period of two (2) years.

8. Disclaimer of Warranties

The Site and its content are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be error-free, uninterrupted, or free of viruses or other harmful components.

Digital marketing results (SEO rankings, ad performance, lead volumes) depend on numerous factors outside our control. We do not guarantee specific outcomes, though we commit to applying best-practice strategies and transparent reporting.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Kissor Digital, its directors, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Site or our services — even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claim relating to a specific project shall not exceed the total fees paid by you for that project in the three months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Kissor Digital and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your violation of these Terms, your use of the Site, or any content you submit or transmit through our services.

11. Termination

Either party may terminate a service agreement with 14 days' written notice. In the event of termination, you are liable for payment of all work completed up to the termination date. Deposits are non-refundable unless Kissor Digital fails to commence the agreed work.

We reserve the right to immediately terminate access to any account or service if you materially breach these Terms.

12. Changes to These Terms

We may revise these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Your continued use of the Site after such changes constitutes acceptance of the revised Terms. We encourage you to review this page periodically.

13. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Kenya. You irrevocably submit to the personal jurisdiction of such courts.
